Is the outside of the bag waterproof or water resistant?

This bag is water resistant, outside may get wet in certain conditions (all kinds of rain) but it does not get through to the inside. I enjoy using this bag and would highly recommend it.

Is there a warranty? The lining started to deteriorate for no reason.

Depending on how long you've had the bag it is a returnable item. Check with Amazon on the return policy. I think you go to your orders and click on the item then find the way to return the item there.
